3.2 租赁期满,甲方有权收回全部出租房屋,乙方应如期交;乙方如要求续租,须在本合同期满前两个月向甲方提出书面申请。

四、租金:

4.1 租金每月为___________人民币。

4.2 每月租金一次支付,必须于租赁期每月前十天付清。如乙方逾期未付,须按日加付其租金的0.5%的滞纳金,超过三十天未付视作自动退租,甲方有权按合同5.2条款视乙方为中途退租情况办理。
the rent is payable monthly in one lump[lmp]sum, before the tenth day of each month. if party b has not paid the rent by the tenth day, a penalty of 0.5% of the rent will be charged per day. if the rent has not been paid within 30 days, party a has the automatic right to eject party b from the leased property, according to clause 5.2 of this agreement.
4.3 租金以人民币为单位用现钞支付。如以支票支付,所发生的费用由乙方负担。
the rent is payable in rmb and in cash. if the rent is paid by cheque['tek], all charges incurred will be borne by party b.
4.4 在本合同有效期内, 租金不予调整。
the rent cannot be increased during the term of this tenancy agreement.
五、押金:
deposit:
5.1 自本合同签定之日,乙方应向甲方交付______个月之租金额的押金计____________人民币。合同期满,乙方如不再续租,并且乙方结清其在租赁期内所用的各项费用后,甲方应将押金在七个工作日内如数退还给乙方(不计利息)。
on signing this tenancy agreement, party b must pay to party a two months' rental as deposit, totaling rmb________. on completion of the tenancy period, if party b doesn't wish to extend the lease and has paid all charges, party a must return the deposit in full to party b within 7 working days (excluding[ik'sklu:di] interest).
5.2 乙方如在租赁期内终止租约,押金不予退还。
if party b stops the tenancy agreement before the date of expiry, party a is not required to return the said deposit.
5.3 乙方如违反合同规定,致使甲方未能如期收取租金或因而发生费用开支,甲方可以扣留部分或全部押金抵付。
if party b breaks any part of this contract, such as not paying the rent punctually['pktuli], or if party b caused damages to the leased property, party a has the right to retain part or all of the deposit in compensation[,kmpen'sein].
5.4 发生5.3条款情形,押金不足抵付时,乙方必须按接到甲方付款通知后十天内补足。
if clause 5.3 is brought into effect, and the said deposit is insufficient to cover party a's costs, party b should pay the extra['ekstr] amount['maunt] to party a within ten days of receipt of party a's payment.
5.5 押金以人民币为单位,用现钞支付。如以支票支付,所发生的费用由乙方承担。
the deposit is payable in rmb and in cash. if the deposit is paid by cheque, all charges incurred will be borne by party b.
六、其它费用:
other charges:
6.1 乙方在租赁期内所用的水、电和煤气费用,每月按实际耗用量结算,乙方按单缴付。
during the period of the tenancy, all charges for use of water, electricity and gas are payable by party b monthly according to consumption[kn'smpn], and on receipt of bills.
6.2 乙方所用电话按电讯局收费标准,每月根据实际用量结算,乙方按单缴付。
all telephone charges are payable by party b monthly according to the telecommunications bureau['bjuru] standard tariffs['t rifs], and according to bills received.
6.3 租赁标的的物业管理费由______方按照大厦管理规章,负责按单缴付。
any charges for the leased property, such as management fees, are payable by____________according to the bill issued by property management office.
七、乙方责任:
tenant's responsibilities:
7.1 乙方应按本合同四、五、六条款规定交付租金、押金和各项费用,如有拖欠,则作违约论。
party b should promptly pay the rent, deposit and other charges as set out in clauses 4, 5 and 6 of this agreement. nonpayment of these charges constitutes a breach of this agreement.
7.2 租赁期内,未经甲方同意,乙方不能转让其所租房屋,私自转让无效。
during the period of tenancy, unless with the agreement of party a, party b cannot sub-let or let in part or in full the leased property.
7.3 乙方应爱护房屋及其设备,如因使用不当导致损坏负责赔偿。
party b must return the property and its contents to party a in good and workable condition, otherwise party b must pay compensation to party a.
7.4 在房屋内已有的装饰和设备之外,乙方如需增加设备或其它装饰须征得甲方同意。租赁期满必须恢复原状,并承担其费用,经甲方验收认可后归还甲方。
in addition to the decoration and equipment already in the property, if party b wishes to make any alterations or decorate the property, party a must consent. on completion of the tenancy, party b must hand-over the property to party a in its original condition, and all fees arising from such work and to be borne by party b.
八、争议的解决:

凡执行本合同或与本合同有关的争议,由双方友好协商解决;协商不成, 提请中国有关经济合同仲裁机构调解;调解不成,提请中国有关经济合同仲裁机构仲裁。
in the case of disputes arising over this agreement, the two parties should negotiate[ni'gui,eit] in a friendly manner and in good faith; if failed, should submit to china related economic contract arbitrated['ɑ:bitreitd] bureau to mediate['mi:dieit] or arbitrate['ɑ:bitreit].
九、其它:

9.1 本合同附件是本合同不可分割的组成部分。

9.2 本合同如有未尽事宜,由甲、乙双方洽谈解决。

This lease agreement, dated the [ ] day of ,2007, Signed in Beijing, People‘s Republic of China by the following parties.
一、 出租人: (以下简称“甲方”)

4.2 租期届满,甲方有权收回全部房屋,乙方应在租期届满日或之前,以甲方交付时状态或双方共同认可的状态将房屋完好交还甲方。
Upon expiry of this lease, Party A has the right to take back the entire Premises , and Party B shall return the Premises on or prior to the date of expiry in the same condition as it is delivered or the other condition the parties agree to Party B by Party A .
4.3 租期届满,乙方如要求续租,应在本合同期限届满前两个月提出书面申请,取得甲方同意后,甲、乙双方须另行签署租赁协议。
If Party B wishes to renew the lease, party B shall submit a written application to Party A two months prior to the expiry of this lease, and a lease agreement shall be concluded between the parties separately subject to Party A‘s consent.
五、 免租期(含装修期)

The telephone number shall be applied by Party B and the call charge shall be paid in accordance with the rate of the telecommunication authority. Party B shall pay the call charge actually incurred each month.
6.3其它费用:

在租赁期内,乙方承租单元所用的电由大厦的物业管理机构每月按实际耗用量结算,乙方按单缴付。免租期内承租单元所用的电费由乙方支付。
During the lease term, the electricity consumed in the Premises shall be paid by Party B to the Management Department in accordance with the actual consumption appeared on the bill of the Management Department. Party B shall pay for the electricity consumed in the Premises during the Grace Period
七、支付方式:
Payment:
7.1 租金应按 预付,免租期届满后,乙方于应付款月的第【 】号前向甲方支付下期租金。

7.2 其他各项费用:(包括但不限于)水费、电费由乙方按大厦物业管理机构每月提供的交费通知单按时交付。
Miscellaneous charges: Party B shall pay for the water and electricity on time to the Management Department according to the bills issued by the Management Department each month.
八、币种和帐户:
Currency and Account:
乙方应按甲方指定的帐户支付本合同项下所有的到期款项,所有付款以人民币计算,以人民币支付。
Party B shall pay the rent and all other amounts due and payable in RMB to the account designated by Party A.
九、保证金:
Deposit:
9.1 自本合同签订之日起 日内,乙方应向甲方缴付相当于【 】个月的租金计人民币【 】元作为保证金及首期租金人民币【 】元,共计人民币【 】元。
Within【 】days after the execution of this Lease Agreement, Party B shall pay to Party A a deposit in the amount of【 】-month rent and the first rent RMB【 】 , totaling RMB【 】。
9.2本合同期满,如本合同不续租,甲方应在期满后三十(30)天内返还保证金(不计利息)如乙方因违约而导致违约金、赔偿金、费用和/或乙方尚未支付任何应付款项,甲方可从保证金中扣除此类违约金、赔偿金、费用和/或未付款项。
Upon expiration of the Lease Agreement, if the Lease Agreement is not to be renewed, Party A shall refund the deposit without interest to Party B within thirty (30) days after the expiration of this Lease Agreement. If there is any default penalty or compensation or expenses incurred due to the breach of Party B and/or any due amount that Party B fails to pay, Party A may deduct such default penalty or compensation or expenses or due amount from the deposit.
9.3在本合同期限内,如有任何应由乙方支付的违约金、赔偿金、费用和/或其他应付款项,甲方可直接从保证金中予以扣除,乙方应在接到甲方书面通知后五(5)天内补足该部分保证金。
During the lease term, if there is any default penalty, compensation or expense and/or any other due amount that shall be paid by Party B, Party A may deduct such amount from the deposit and Party B shall, within five (5) days after Party A so notifies.
十、大厦及承租区域的交付状态:
The state of the Premises when delivery :
甲方按现状交楼,具备办公条件。
Party A will deliver the Premises at as-it-is basis, which satisfies the conditions as office.
十一、甲方的权利义务:
Party A‘S RIGHTS AND RESPONSIBILITES:
11.1甲方在本租赁合同规定的期限内将房屋交付乙方。
Party A shall deliver the Premises to Party B within the term specified herein.
11.2甲方保证是房屋的合法权利人,有充分的权利出租房屋。
Party A shall ensure that it is legal owner of the Premises and have full right to lease the Premises.
11.3甲方的权利保留Party A may reserve the following rights.
11.3.1 使用公共设施;to use the public facilities;
11.3.2 进入房屋内对公共设施进行检查和维修。甲方行使该项权利时,应提前通知乙方,紧急情况除外。
to enter into the Premises for check and maintenance provided that Party A shall inform Party B in advance except under emergency.
11.3.3 在发出通知后(紧急情况除外),有权暂停大厦设施进行维修和维护,可能导致水电的中断。甲方无需为此承担责任。
To repair and maintain the facilities of the building which may result in the suspension of water and electricity, upon a notice (except under emergency) without any liability thereof.
11.4 甲方应协助提供乙方提供办理工商营业执照所需相关证明文件。
Party A shall assist Party B in registering with industrial and commercial administration by provide necessary documents.
11.5甲方在承租期内促使物业管理机构提供水、电、空调、供暖及日常房屋维修。
Party A shall procure the Management Department to provide water, electricity, air conditioning, heating and daily maintenance during the lease period.
11.6 如在租赁期届满前两个月,乙方未提出续租请求,或者虽然提出续租请求,但双方在三十天内未就续租合同条款达成一致,甲方有权在工作时间带领其他租户进入房屋查看。
If Party B does not submit an application for renewal two months prior to the expiration of this Lease Agreement, or if Party B submits such application but the parties fail to reach agreement on the renewal, Party A shall have the right to enter the Premises with other tenant at work hours to review.
十二、乙方的权利和义务
Party B‘S RIGHTS AND RESPONSIBILITES:
12.1 自行负责房屋的装修和设施。
Party B shall be responsible for the decoration and facilities of the Premises.
除非经消防局及甲方同意,乙方不得对房屋的主要结构及装置(包括烟感器及喷淋头)作任何变动、拆除或调整。如乙方擅自做任何变动,应负责将其恢复原状并承担一切费用和相关责任。
Party B shall not alter, change, dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of Party A and fire control authority. If Party B makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all expenses and related liabilities.
12.2乙方应根据本合同第六、七、八条的规定按时缴纳租金及各项相关费用。
Party B shall pay the rent and other fees pursuant to Clauses 6, 7, and 8 on time.
12.3乙方应按本合同的规定合理使用房屋,并保持房屋的清洁。
Party B shall reasonably use the Premises as provided hereunder and keep it clean.
12.4未得到甲方及大厦管理机构的事先同意,乙方不得在窗外、外墙、
公共走廊墙面、电梯间及其它共用区域悬挂、张贴、附置或以其它方式放置任何广告、标识、招贴或其它资料。
Party B shall not hang, affix, or display any advertisement, signboard, poster or any other materials on outside window, outside wall, public aisle wall, elevator or other public area without the prior consents of Party A and Management Department.
12.5 乙方在承租期内不得将全部或部分房屋转租、分租或借予第三方。
During the lease term , Party B shall not sub-let or assign the lease to any third party.
12.6 乙方在其经营活动中,不得宣称或令顾客误认为其与甲方关系属合作、合营、合伙、联营或关联企业关系。
Party B shall not represent or otherwise mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with Party A during its operation.
12.7乙方应自行获取依据法律法规和政府有关部门规定应具备的所有许可、批准和证照,保证其营业活动的合法性。
Party B shall be responsible for obtaining all approvals, consents and licenses required by laws to ensure that its operation is legal.
12.8乙方应自行承担由于乙方工商注册、税务登记、迁址等行为所产生的税、费。
Party B shall be responsible for any and all taxes, fees and expenses incurred for its industrial and taxation registrations and moving into the Premises.
12.9对于第三方因乙方对其造成或在房屋内发生的人身伤害或经济损失而提出的索赔,乙方应自行负责并保证甲方免于此类索赔。如甲方因此类索赔而遭受损失,乙方保证进行赔偿。
Party B shall be responsible for and hold Party A harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by Party B or caused in the Premises. Party B hereby warranties that it shall indemnity Party A for any losses caused to Party A by such claims.
12.10乙方不得在房屋内放置易燃、易爆的物品其他危险物品。
Party B shall not keep or store in the Premises any flammable or explosive substances or other dangerous substances.
12.11乙方应严格遵守甲方和/或大厦物业管理机构制定并不时修改的大厦所有管理规定。
Party B shall strictly comply with all rules made and amended from time to time by Party and/or the Management Department.
12.12 乙方不得在房屋内从事任何违法活动。
Party B shall not carry out any illegal activity in the Premises.
12.13乙方不得将房屋用于除办公以外的用途。
Party B shall not use the Premises for any purpose other than as office.
12.14若乙方以租赁房屋作为其公司注册地址时,乙方应在租赁合同终止后15日内办理地址注销登记手续,乙方逾期办理的,应每日按月租金千分之三的标准向甲方支付滞纳金,造成甲方损失的,应予以赔偿。
If the Premises is used as company‘s registered address of Party B, Party B shall complete the procedures of writing off the registered address within 15 days after termination of the contract. If Party B is not able to complete the procedures on time , it shall pay Party A a penalty equal to 3‰ of the monthly rent per day of delay. Party B shall compensate for such loss.
十三、违约责任与合同终止
BREACH AND TERMINATION
13.1违约
任何一方违反合同给另一方造成损失的,应当进行赔偿。
If a party is in breach of this Lease Agreement, it shall compensate the other party for any losses cause by its breach.
13.2在下列任何情况下,本合同终止
This Lease Agreement will be terminated under any of the following conditions:
13.2.1租赁期限届满:
The expiration of this Lease Agreement
13.2.2 当一方违反本合同中任何规定,并且另一方书面通知要求其予以纠正的三十(30)日内未能纠正违约行为或者如果该违约是无法纠正的,守约方有权立即终止本合同。
by one of the Parties, with immediate effect, when the other Party is in breach of this Lease Agreement and such breach is not curable or is not remedied within thirty (30) days after the party not in breach sends a written notice requesting the cure of such breach;
13.2.3甲方可以提前六十(60)天的书面通知提前终止本合同,但应双倍返还乙方保证金。
Party A may terminate this Lease Agreement with a sixty (60) day prior written notice provided that it shall refund the deposit in double amount.
13.2.4如乙方延期支付租金和/或其他各项款项超过十(10)日,甲方有权解除合同,保证金不予退还。乙方除应支付延期款项外,还应支付逾期付款违约金,数额延期支付金额的0.5%/日,直至乙方全额付清为止。
If Party B delays the payment of rent and/or other amounts for ten (10) days, Party A shall have the right to terminate this Lease Agreement and the deposit shall not be refunded. Party B shall pay a default penalty for the overdue amount at the rate of 0.5% of the overdue amount per day until it pays in full amount, in addition to pay all the overdue amounts.
13.2.5 如乙方不遵守大厦管理规定并严重影响其他租户正常经营,甲方可以书面通知乙方提前终止本合同,并且保证金不予返还。
If Party B does not comply with the management rules of the building and therefore seriously affects the normal operation of other tenants, Party A may terminate this Lease Agreement in advance with a written notice and the deposit shall not be refunded.
13.2.6 如乙方在房屋内从事任何违法活动或未按照办公用途使用房屋,甲方有权立即书面通知乙方提前终止本合同,保证金不予返还。
If Party B carries out any illegal activity in the Premises or use the Premises for other purpose than office, Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.
13.2.7 如乙方将房屋分租或转租第三方,甲方有权以书面通知立即终止合同,并且保证金不返还。
If Party B sublets or assigns the lease to a third party, Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.
13.2.8 不可抗力Force Majeure
一方因不可抗力事件连续六十天(60)不能履行义务,任何一方可以书面通知终止本合同,在不可抗力的影响范围内受影响的一方不承担违约责任。“不可抗力”包括自然灾害、爆炸、飞行物体坠落、政府行为(但专门针对受影响一方的行政行为除外)等受影响的一方不能预见、不能控制并且不可避免的事件。双方在此明确但商业性风险不应作为不可抗力。受影响的一方应在不可抗力事件发生后的五(5)日内书面通知对方,并且应附有有权机构出具的不可抗力发生的证明。
Either Party may terminate this Lease Agreement with a written notice if one party is not able to perform its obligations hereunder for consecutive sixty (60) days due to force majeure. The affected party shall not bear the liability of breach of contract to the extent of the effect of the force majeure. Force Majeure shall include such events that the affected party is not able to foresee, control and avoid as natural disaster, explosive, falling of flying objects, government action (except those specially against the affected party) The parties hereby confirm that commercial risk shall not be deemed force majeure. The affected party shall notify the other party in writing of such force majeure event accompanying with the certification of the occurrence of the force majeure event issued by competent authority.
13.2.9一方进入破产、清算、解散或任何类似程序,另一方可以终止本合同,但以善意管理费用或合并为目的的除外。
One party may terminate this Lease Agreement if the other party launches the bankruptcy, liquidation, winding up or any similar procedure other than for the purpose of a bona fide reconstruction or amalgamation.
13. 3 合同终止的后果 The result of the termination
13.3.1 如本合同届满并且未由乙方续租,乙方须于届满之日的17点之前腾空房屋;如本合同因任何原因提前终止,乙方应于终止日后的三日内腾空房屋。如乙方未能在此期间腾空房屋,由乙方应按日支付房租,逾期十日以上(包括十日),乙方应按双倍房租支付。如因此给甲方造成经济损失(包括因未能向下一租户及时交付房屋而导致的违约金和租金收入),还应赔偿损失。
If this Lease Agreement is expired without the renewal of Party B, Party B shall vacant the Premises by 5pm on the date of expiration; if this Lease Agreement is terminated in advance for whatever reason, Party B shall vacant the Premises within three (3) days after the termination date. If Party B fails to vacant the Premises within the aforesaid period, it shall pay rent for each day of delay. If the de(www.61k.com)lay is over ten (10) day (inclusive), Party B shall pay the rent in double amount. If there is any economic loss caused to Party A including the penalty for not delivering the Premises to next tenant on time and rent loss, Party B shall compensate such loss.
13.3.2乙方还应拆除装修和清理房屋(甲方同意保留装修的除外),以甲方交付之时的状态或双方共同认可的状态将房屋交还甲方(正常损耗除外)归还房屋时留在房屋内的所有设施、装修及物品均视为乙方放弃所有权,甲方可随意处置。如乙方未将房屋恢复原状,甲方可自行恢复原状,乙方需支付全部费用,可由甲方从保证金中扣除。
Party B shall also dismantle the decoration (Except for the decoration that Party A agrees to retain)and clean the Premises so that the Premises will be returned to Party A in the same condition as when delivered to Party B or (fair tear and wear is excepted) Party B shall be deemed waiving the title of all facilities, decoration and staff left the Premises when the Premises is returned to Party A and Party A may dispose them in any way. If Party B fails to restore the Premises to the condition of delivery, Party A may restore the Premises to the condition of delivery and Party B shall bear all expenses thereof, which may be deducted from the deposit by Party A.
13.3.3除因乙方违约造成合同终止的情况以及本合同有不同规定的情况以外,甲方应将保证金返还乙方。
Party A shall refund the deposit to Party B except the termination is caused by the breach of Party B and otherwise provided hereunder.
13.3.4 乙方应支付全部应付费用,包括房租、水电费、电话费等。
Party B shall pay in full amount all the due payment including rent, water and electricity fee and telephone call charge.
13.3.5 双方应按下列程序进行交接房屋。

十四、附则
14.1 争议的解决 Dispute Resolution
因执行本合同或与本合同有关的一切争议,双方应通过友好协商解决。协商不成的,则任何一方有权将争议提交北京仲裁委员会仲裁裁决。仲裁程序应遵照仲裁委员会的现行仲裁规则进行。仲裁期间,双方应继续执行本合同不涉及争议的部分。
Any disputes arising from the execution of or in connection with this Lease Agreement shall be settled through friendly consultations between the parties. In case no settlement can be reached through consultations, such dispute shall be submitted to Beijing Arbitration Committee in accordance with its Rules. During the arbitration, the Parties shall continue to perform the part of this Lease Agreement not under dispute.
14.2 合同的修改The amendment of this Lease Agreement
对本合同只可通过双方书面修改。
This Lease Agreement may be changed only by a written instrument signed by parties.
14.3 可分性 Severability
本合同任何条款无效,不影响其他条款的效力。
The invalidity of any part of this Lease Agreement shall not affect the validity of other clauses.
14.4 文字
本合同以中文签署。英文文本只做参考,不具有法律效力。
This Lease Agreement shall be wrote in Chinese. The English version is only for reference without legal effect.
14.5 全部协议 Entire Agreement
本合同有其附件构成双方之间就本合同所涉事项达成的全部协议,取代双方此前就合同事项达成的所有口头和书面协议。
This Lease Agreement constitutes the entire contract between the Parties with respect to the subject matter of this Lease Agreement and supersedes all prior understandings between them on such subject matter.
14.6 通知 Notice
任何一方根据本合同发出的通知或其他联系应以中文书写并应通过专人送递或挂号邮寄或以公认的快递服务或以传真(应当有发送成功的报告)发送至另一方的下述地址。通知视为有效送达的日期按以下方法予以确定:
Any notice provided for in this Lease Agreement shall be in Chinese and shall be delivered by person, or sent by prepaid registered mail or courier, or sent by facsimile with the confirmation of successful transmission by the fax machine, transmitted or addressed to the appropriate party‘s following address. The notice shall be deemed served on the following date:
14.6.1专人投递的通知,视为于投递之日送达;

14.6.2 以挂号邮寄的通知,视为于投邮日(邮戳日期)后第十(10)天送达;
On 10th day after stamp on the registered mail if send by Registered mail;
14.6.3快递送达的通知,视为公认的快递服务机构发出后第三(3)天送达;On third day after the pick up by the courier if send by courier;
14.6.4 传真发送的能知,应视作于发送日后下一(1)个营业日送达。

14.6.5如任何一方更改以上地址,需提前三十(30) 天书面通知另一方,该更改方生效。

6. 租金:Rent:

9.出租人责任:Landlord’sResponsibilities:
9.1租赁期内甲方不得无故收回房屋,如甲方因特殊原因中途解除合同时,须提前30天通知乙方,并支付乙方一个月的租金作为补偿;甲方须把剩余租金和押金不计利息退还乙方。
Party A is not permitted to take back the leasedproperty during the term of the Tenancy without any proper/specialreasons. If Party A has to terminate thisAgreement for any reasons, Party A shall notify Party B 30 days inadvance. Party A shall pay Party B the rental ofone month as compensation; And Party A shall return the rest ofrental and the deposit to party B (without interest).
9.2甲方同意,在本租赁协议期限内,始终以良好和适租的状态经营其物业,维修房屋的家具、电器、暖气、空调、房屋结构、主墙、屋顶以及房屋之内或进出房屋的下水道、管线和电缆(由于乙方原因造成的毁损除外)。
Maintenance: Party A agrees to maintain the electricalappliances, heating and air-conditioning, structure, main walls,roof, drains, pipes and cables in or leading to or from thePremises at all times in a good and tenantable condition during theTerm of this Tenancy Agreement(except for the damages is by partyB’s default).
9.3甲方同意,在租赁协议期限内,保障乙方享受安静的居住条件,甲方或者持有甲方合法委托权的任何其他人员都不得在此期间干扰乙方的生活(如遇特殊情况应提前通知乙方)。
Party A shall allow the Party B to peaceably hold and enjoy thePremises during the Term without any interruption by Party A or anyperson or persons lawfully claiming through or in trust for Party A(inform party B in advance for unexpected case)
9.4 甲方应于2010年4月1日之前对客厅壁纸修缮完毕,乙方应予以全力配合。
Party A shall repair the wallpaper at the livingroom to a good condition before the first of April of year 2010with the cooperation of Party B.
10 承租人责任:Tenant’sResponsibilities:
10.1租赁期内未经甲方同意,乙方不能转让其所租房屋给第三方,私自转让无效,甲方可及时收回房屋并有权解除本租约。
Party B shall not transfer or sublease the propertyto the Third Party without permission of Party A, otherwise, PartyA has the right to terminate this Agreement.
10.2乙方应采取合理的措施,保持房屋内(包括家具、电器设备等附件1物品清单中列示项目)处于良好状况(正常磨损除外);就乙方的过失行为或不当作为而给房屋造成的任何毁损赔偿甲方,在适当的时间且提前通知乙方的前提下,允许甲方或其授权代表进入房屋修理毁损之处,费用由乙方负担。
Party B should take all reasonable precautions to the interiorof the Premises against damage. To maintain the interior of thesaid premises (including furniture, electrical appliances and allitems listed in the Inventory List (Appendix 1) in good condition(fair wear and tear excepted); to indemnify Party A for any loss ordamage to the Premises arising from the negligent act or omissionof Party B, to permit Party A or its authorized representatives bygiving reasonable prior notice and at reasonable times to enter thePremises to repair any such loss or damage at the expense of theParty B。
10.3乙方不得使用甲方提供的房屋进行违法活动,储藏违法物品或危险品。如有上述所述的任何一种情况发生,全部责任由乙方承担。
Party B shall not carry out and keep any illegal ordangerous articles in the leased property provided by Party A,otherwise, Party B shall take full responsibilities for any ofabove-mentioned activities.
10.4乙方因特殊原因要解除合同时,须提前30天通知甲方,并支付甲方一个月的租金作为补偿;甲方须把剩余租金和押金退还乙方。
If Party B wishes to terminate the contract for anyspecial reason, Party B shall notify Party A 30 days in advance ,therefore, Party B shall pay Party A the rental of one month ascompensation; Party A shall return the rest ofrental and deposit to party B.
11.如果由于发生不可抗拒事件(包括但不限于爆炸、火灾、雷电、地震、飓风、战争、暴乱、民乱、罢工或者中华人民共和国或其任何机构通过、废除或修改任何法律、法规、法令),甲方无法继续经营其物业或者在其方面无法继履行其在本租赁协议下的义务,则无论是甲方还是乙方均可通过提前七天书面通知本租赁协议另一方而终止本租赁协议,随后,乙方有权要求返还从终止生效日期起承租人已预付但尚未花费的租金以及押金,而双方亦被免除本租赁协议项下的任何其他义务,但与尚未支付的应计和所欠款项有关的义务除外。乙方不需支付其不能进入及使用出租房屋期间的租金。
If because of an event of force majeure (including, but notlimited to, explosion, fire, lightning, earthquake, hurricane, war,riots, civil disturbance or strike, or the enactment, recession oramendment of any law, regulation, decree of the People's Republicof China, or any instrumentality thereof), Party A is unable toperform its obligations under this Tenancy Agreement, then: eitherParty A or Party B, may terminate this Tenancy Agreement by 7 daysprior written notice to the other Party hereto, whereupon Party Bshall be entitled to a refund of the unspent Rent and the securitydeposit from the effective date of termination for which Party Bhas already paid its Rent in advance, and both Parties shall bereleased from any further obligation hereunder, save those inconnection with amounts already accrued and owing but not yet paid.No rental to be paid by Party B to Party A for the period thePremises inaccessible to, or uninhabitable by Party B
12.争议的解决:Arbitration:
甲乙双方就履行本合同发生纠纷,应通过居间人协商解决,若协商无效的,任何一方有权向仲裁机构或人民法院提出仲裁或诉讼。
In case of any dispute arises over the Agreement,the two Parties shall negotiate friendly through the Agent, iffailed, any Party shall has the right to submit for arbitration orlawsuit to the Arbitration Authority or People’s Course.
13.1其它:Others:
13.1本合同如有未尽事宜,由甲、乙双方商定另行补充,本合同及一切补充条款均作为本合同组成部分,具有同等法律效力。
If this Agreement remains with any outstanding issues, the twoParties shall negotiate and resolve through friendly way. Anysupplementary agreements shall be regarded as the part of thisAgreement and have the same legal effect.
13.2本合同自签字日起生效,甲乙双方不得违约,如有违约,违约方应支付贰个月房租金作为对另外一方的补偿。合同文本壹式叁份,甲方、乙方、居间人各执一份,中英文具有同等法律效力。
The Agreement shall take effect on the date ofexecution in three originals. Each Party and theAgent shall each hold one copy of this Agreement. Both party A andParty B shall not violate this Agreement, otherwise, This Partyshall pay two month rental as compensation.

In case the rental is more than ten working days overdue, Party B will pay 0.5 percent of monthly rental as overdue fine every day, if the rental be paid 15 days overdue, Party B will be deemed to have with drawn from the premises and breach the contract. In this situation, Party A has the right to take back the premises and take actions against party B's breach.
五、 保证金Deposit
1.为确保房屋及其附属设施之安全与完好,及租赁期内相关费用之如期结算,乙方同意于______年_____月_____日前支付给甲方保证金人民币_________元整,甲方在收到保证金后予以书面签收。
Guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party B will pay _________to party A as a deposit before _____(month) _____(day) _______(year). Party A will issue a written receipt after receiving the deposit.
2.除合同另有约定外,甲方应于租赁关系消除且乙方迁空、点清并付清所有应付费用后的当天将保证金全额无息退还乙方。
Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.
3.因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用,甲方可在保证金中抵扣,不足部分乙方必须在接到甲方付款通知后十日内补足。
In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit . In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.
六、 甲方义务Obligations of Party A
1.甲方须按时将房屋及附属设施(详见附件)交付乙方使用。
Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.
2.房屋设施如因质量原因、自然损耗或灾害而受到损坏,甲方有修缮并承担相关费用的责任。
In case the premise and attached facilities are damaged by quality problems, natural damages or disasters, Party A will be responsible to repair and pay the relevant expenses.
3.甲方应确保出租的房屋享有出租的权利,反之如乙方权益因此遭受损害,甲方应负赔偿责任。
Party A will guarantee the lease right of the premises. Otherwise, Party A will be responsible to compensate Party B's losses.
七、 乙方义务Obligations of Party B
1.乙方应按合同的规定按时支付定金、租金及保证金。
Party B will pay the rental, the deposit and other expenses on time.
2.乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。
Party B may decorate the premises and add new facilities with Party A's approval. When this contract expires, Party B may take away the added facilities which are removable without changing the good conditions of the premises for normal use.
3.未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。
Party B will not transfer the lease of the premises or sublet it without Party A's approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4.乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。
Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it.
5.乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用,并按单如期缴纳。
Party B will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.
八、 合同终止及解除的规定Termination and dissolution of the contract
1.乙方在租赁期满后如需退租或续租,应提前两个月通知甲方,由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。
Within two months before the contract expires, Party B will notify Party A if it intends to extend the leasehold. In this situation, two parties will discuss matters over the extension.
2.租赁期满后,乙方应在当天将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。
When the lease term expires, Party B will return the premises and attached facilities to Party A within days. Any belongings left in it without Party A's previous understanding will be deemed to be abandoned by Party B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.
3.本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。
This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party's agreement. Anything not covered in this contract will be discussed separately by both parties.
九、 违约及处理Breach of the contract
1.甲、乙双方任何一方在未征得对方谅解的情况下,不履行本合同规定条款,导致本合同中途中止,则视为该方违约,双方同意违约金为人民币___________元整,若违约金不足弥补无过错方之损失,则违约方还需就不足部分支付赔偿金。
During the lease term, any party who fails to fulfill any article of this contract without the other party's understanding will be deemed to breach the contract. Both parties agree that the default fine will be________________. In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.
2.若双方在执行本合同或与本合同有关的事情时发生争议,应首先友好协商;协商不成,可向有管辖权的人民法院提起诉讼。本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。
Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.

1-2.甲方作为该房屋的与乙方建立租赁关系。签订本合同前,甲方已告知乙方该房屋(已/未)设定抵押。
1-2Party A, as theproperty ownerof the building, enters into this Agreement with Party B. Prior to the signing of this Agreement, Party A has made it known to Party B that the Premiseis(is/is not) under mortgage.
1-3.该房屋的公用或合用部位的使用范围、条件和要求;现有装修、附属设施、设备情况和甲方同意乙方自行装修和增设附属设施的内容、标准及需约定的相关事宜,由甲、乙双方分别在本合同附件(二)、(三)中加以列明。甲乙双方同意该附件作为甲方向乙方交付该房屋和本合同终止时乙方向甲方返还该房屋时的验收依据。
1-3The use, condition and requirements of the common areas of the Premise, the existing fit-out and the current state of additional facilities, alterations of the Premises furnishing and additional facilities by Party B, are all listed in details by both Party A and Party B in Appendix Two and Appendix Three of this Agreement. Appendix shall form the basis of the acceptance inspection, taking place when Party A hands over the Premises to Party B and when Party B, upon the expiration of the lease term of this Agreement, returns the Premises.
二、租赁用途
Article Two: Purposes of Leasing
2-1.乙方向甲方承诺,租赁该房屋作为办公使用,并遵守国家和本市有关房屋使用和物业管理的规定。
2-1 Party B undertakes, as represented to Party A, that the lease of said premises shall only be for the purpose ofoffice. Party B shall abide by relevant state and municipality regulations.
2-2.乙方保证,在租赁期内未征得甲方书面同意以及按规定须经有关部门审批核准前,不擅自改变上款约定的使用用途。
2-2 Party B shall not unilaterally change the use of said Premises during the term of the lease, unless it received Party A’s prior written consent and obtained the approval of the relevant authorities in accordance with regulations.
三、交付日期和租赁期限

四、租金、支付方式和期限

五、保证金和其他费用
Article Five: Deposit and Other Fees
5-1.甲、乙双方约定,甲方交付该房屋时,乙方应向甲方支付房屋租赁保证金,保证金为个月的租金,人民币元(大写:元整)。甲方收取保证金后应向乙方开具收款凭证。租赁关系终止时,甲方收取的房屋租赁保证金除用以抵充合同约定的由乙方承担的费用外,剩余部分在一周内无息归还乙方。
5-1 Party A and Party B agree that upon signing this Agreement, Party B shall pay Party A an amount equal to the sum of_ months’ rent, totalingRMB(currency)_(amount), as the earnest money for Party B’s performance of this Agreement. Party A shall issue a receipt to Party B upon receiving the deposit. Upon the expiry of the lease term, the deposit can be used to pay other fees borne of Party B. 六、房屋使用要求和维修责任
Article Six: Premises Standard and Obligations of Repair
6-1.租赁期间,乙方发现该房屋及其附属设施有损坏或故障时,应及时通知甲方修复;甲方应在接到乙方通知后的3日内进行维修。逾期不维修的,乙方可代为维修,费用由甲方承担。
6-1 Party B shall timely inform Party A of any damage or malfunction of the Premises and its accessory facilities. Party A should carry out the repair within_3_days of receiving the notification from Party B. Should it fail to do so, Party B has the right to carry out the repair on Party A’s expense.
6-2.租赁期间,乙方应合理使用并爱护该房屋及其附属设施。因乙方使用不当造成房屋及其附属设施损坏或发生故障的,乙方应负责维修。乙方拒不维修,甲方可代为维修,费用由乙方承担。
6-2 Party B shall take good care of the Premises and the facilities therein and use them in a reasonable manner. In the event of damage to the Premises or the facilities due to Party B’s improper use, Party B shall promptly repair any damage or compensate. Should Party B refuse to repair, Party A can repair on Party B’s expense.
6-3.租赁期间,甲方保证该房屋及其附属设施处于正常的可使用和安全的状态。甲方对该房屋进行检查、养护,应提前3日通知乙方。检查养护时,乙方应予以配合。甲方应减少对乙方使用该房屋的影响。
6-3 Party A shall guarantee the safety for the use of the said Premises during the term of the lease. Party A shall give_3_day(s) prior written notice to Party B before carrying out repairs on the Premises and its accessory facilities, and Party B shall actively lend its assistance and co-operation. Party A shall do his best to reduce the influence on Party B’s use.
6-4.除本合同附件(三)外,乙方另需装修或者增设附属设施和设备的,应事先征得甲方的书面同意,按规定须向有关部门审批的,则还应由甲方报请有关部门批准后,方可进行。乙方增设的附属设施和设备归属及其维修责任由甲、乙双方另行书面约定。
6-4 Party B shall obtain the prior written consent from Party A for any refurbishing in the Premises or alteration of the original facilities required by Party B in addition to the existing furnishing and facilities. The relevant procedures must be properly carried out afterParty Ahas got the appropriate approval from relevant authorities. The ownership and maintenance of the additionally installed facilities and equipment shall be separately agreed upon by both Parties.
七、房屋返还时的状态
Article Seven: The Condition of the Premises upon Handing Over
7-1.除甲方同意乙方续租外,乙方应在本合同的租期届满后的2日内返还该房屋,未经甲方同意,逾期返还房屋的,每逾期一日,乙方应按日租金的双倍(日租金为月租金x12/365)向甲方支付该房屋占用期间的使用费。
7-1 Party B shall hand over the Premises back to Party A within _2days after the termination of lease term, unless Party A has agreed upon a renewal contract. Should Party B fail to hand back the Premises in time, it is subject to pay a daily penalty of_two times of daily rent(Daily rent = monthly rent x 12 / 365)to Party A.
7-2.乙方返还该房屋应当符合正常使用后的状态。返还时,应经甲方验收认可,并相互结清各自应当承担的费用。
7-2 Party B shall hand over the Premises in its proper state. Upon the handing over, Party A shall inspect the house and relevant charges borne by either Parties shall be duly paid.
八、转租、转让和交换
Article Eight: Sub-lease, Assignment and Transfer of the Premises
8-1.除甲方已在本合同补充条款中同意乙方转租外,乙方在租赁期内,需事先征得甲方的书面同意,方可将该房屋部分或全部转租给他人。但同一间居住房屋,不得分割转租。
8-1 Party B must obtain Party A’s prior written consent before it sublets any part or all of the leased premises to a third party within the term of the lease, unless Party A and Party B have agreed otherwise in the Supplementary Provisions. However, Party B shall not sublet the same room in part.
8-2.乙方转租该房屋,应按规定与接受转租方订立书面的转租合同。并按规定向该房屋所在区、县房地产交易中心或农场系统受理处办理登记备案。
8-2 Party B shall enter into a written sub-leasing contract with a third party for the sub-leasing of the Premises. The contract shall be duly registered and filed in accordance with all relevant regulation.
8-3.在租赁期内,乙方将该房屋转让给他人承租或与他人承租的房屋进行交换,必须事先征得甲方书面同意。转让与交换后,该房屋承租权的受让人或交换人应与甲方签订租赁主体变更合同并继续履行本合同。
8-3 Inthe event that Party B subleases or transfers the Premises, Party B needs a prior written consent from Party A.
8-4.在租赁期内,甲方如需出售该房屋,应提前三个月通知乙方。乙方在同等条件下有优先购买权。
8-4 Athree-month prior notice shall be given to Party B if Party A wants to sell the Premises during the lease term. Party B has the preemptive right for the Premises.
九、解除本合同的条件
Article Nine: Termination of this Agreement
9-1.甲、乙双方同意在租赁期内,有下列情形之一的,本合同终止,双方互不承担责任:
9-1 Party A and Party B agree that during the lease term, should any of the following events occurs, this Agreement is terminated and neither Parties need to compensate the other Party.
(一)该房屋占用范围内的土地使用权依法提前收回的;
One: The using right of the land occupied by the Premises is legally early taken back by the government.
(二)该房屋因社会公共利益被依法征用的;
Two: The Premises is to be legally taken over by government for use of public benefits and urban infrastructure.
(三)该房屋因城市建设需要被依法列入房屋拆迁许可范围的;
Three: The Premises is to be demolished for reasons of urban construction.
(四)该房屋毁损、灭失或者被鉴定为危险房屋的;
Four: The Premises is damaged and partly destroyed or is deemed as unsafe for residential use.
(五)甲方已告知乙方该房屋出租前已设定抵押,现被处分的;
Five: Party A notifies Party B that the house is under mortgage and is currently under disposal.
9-2.甲、乙双方同意,有下列情形之一的,一方可书面通知另一方解除本合同。违反合同的一方,应向另一方按月租金的双倍支付违约金;给对方造成损失的,支付的违约金不足抵付一方损失的还应赔偿造成的损失与违约金的差额部分:
9-2 Both Parties agree that if any of the following events occurs, one Party can terminate the Agreement with a written notification to the other Party. A compensation which equals_twotimes the monthly rent shall be paid by the Party that breaches the Agreement to the other Party. If the penalty is insufficient to set off the loss, the Party that breaches the Agreement is to compensate the shortfall to the other Party.
(一)甲方未按时交付该房屋,经乙方催告7日内仍未交付的;
One: Party A fails to hand over the Premises in due time and still fails to do so within _7_ days after Party B’s notification.
(二)甲方交付的该房屋不符合本合同的约定,致使不能实现租赁目的的;或甲方交付的房屋存在缺陷,危及乙方安全的;
Two: The Premises that Party A hands over is not in accordance with the provisions in this Agreement and therefore poses an interruption of the normal operation of the Premises.
(三)乙方未征得甲方书面同意改变房屋用途,致使房屋损坏的;
Three: Party B changes the use of the Premises without prior written consent from Party A and therefore destroys the Premises.
(四)因乙方原因造成房屋主体结构损坏的;
Four: The main structure of the Premises is destroyed due to Party B.
(五)乙方擅自转租该房屋、转让该房屋承租权或与他人交换各自租房屋的;
Five: Party B sub-let, transfers or exchanges the Premises to or with other without the written consent of Party A.
(六)乙方逾期不支付租金累计超过30日的;
Six: Party B is more than_30days in arrears of the rent.
十、违约责任
Article Ten: Liability for Breach of Contract
10-1.该房屋交付时存在缺陷的,甲方应自交付之日起的7日内进行修复,逾期不修复的,甲方同意减少租金并变更有关租金条款。
10-1Any defects of the apartment upon its handing over should be remedied by Party A within_7_days. Should it fail to do so, Party A agrees to deduct the rent and change certain rent-related provisions of this Agreement.
10-2.因甲方未告知乙方,该房屋出租前已抵押或产权转移已受到限制,造成乙方损失的,甲方应负责赔偿。
10-2 Party A fails to notify Party B in this Agreement that the Premises is under mortgage and the change of ownership is under limitation. Party A has to compensate Party B for all its losses.
10-3.租赁期间,甲方不及时履行本合同约定的维修、养护责任,致使房屋损坏,造成乙方财产损失或人身伤害的,甲方应承担赔偿责任。
10-3. Inthe event that Party A fails to repair and maintain the Premises in a timely manner in accordance with this Agreement, thereby resulting in any damage to the Premises from which Party b suffers economic loss or personal injury, Party A shall compensate Party B accordingly.
10-4.租赁期间,非本合同规定的情况,甲方擅自解除本合同,提前收回该房屋的,甲方应按月租金的双倍向乙方支付违约金。若违约金不足抵付乙方损失的,甲方应负责赔偿。
10-4. Inthe event that Party A terminates this Agreement without prior consent of Party B during the lease term, Party A shall pay a fine equivalent to_two_ times the monthly rent. If the fine is insufficient to set off the losses suffered by Party B, Party A shall compensate Party B for the shortfall.
10-5.乙方未征得甲方书面同意或者超出甲方书面同意的范围和要求装修房屋或者增设附属设备的,甲方可以要求乙方恢复房屋原状。
10-5 Party B refurbishes the apartment or add to its facilities without the written consent of Party A or does so more than Party A’s requirement, Party A has the right to ask Party B torestore the house to its original.
10-6租赁期间,乙方若未按本合同4.2条款及时、足额支付租金,自逾期之日起乙方应每日按应付未付租金的3‰向甲方支付滞纳金,直至乙方付清之日止。
10-6 During the term of the lease, in the event that Party B pays the rent late or insufficiently according to article 4.2, Party B should pay late fee, which should be 3‰of the expected rent per day, The days in arrears begin from the next day of the deadline till the day practically paid.
10-7租赁期间,非本合同规定的情况,乙方中途擅自退租的,乙方应按月租金的双倍向甲方支付违约金。若违约金不足抵付甲方损失的,乙方还应负责赔偿。甲方可从租赁保证金中抵扣。保证金不足抵扣的,不足部分则由乙方另行交付。
10-7. In the event that Party B terminates this Agreement without prior consent of Party A during the lease term, it shall pay a fine equivalent to _two_ times the monthly rent. If the said rent is insufficient to set off the losses suffered by Party A, Party B shall compensate Party A for the shortfall.
十一、其他条款
Article Eleven: Other Provisions
11-1.租赁期间,甲方需抵押该房屋,应当书面告知乙方,并向乙方承诺该房屋抵押后当事人协议以折价、变卖方式处分该房屋前7日书面征询乙方购买该房屋的意见。
11-1 Party A shall notify Party B in written form7days if it wishes to sell-off the house or covert it into money during the lease term and it should inquire Party B’s intention of buying the Premises.
11-2.本合同自双方签字生效。生效后的15日内,由甲方负责按规定向房屋所在地区、县房地产交易中心或农场系统受理处办理登记备案,领取房屋租赁登记备案证明;本合同经登记备案后,凡变更、终止本合同的,由甲方负责在本合同变更终止之日起的15日内,向原登记机构办理变更、终止登记备案手续。因甲方未办理房屋租赁登记备案或变更、终止登记备案的,所引起的法律纠纷,由甲方承担一切责任。
11-2 This Agreement shall come into effects upon its signing. Party A shall be responsible for registering this Agreement within fifteen (15) days after its execution with the Shanghai Municipal/district (county) Real Estate Exchange Authorities on behalf of the Parties. Party A shall be responsible to carry out, on behalf of the Parties, the procedures for the registration of any amendment to or termination of this Agreement with the original registration authorities within fifteen (15) days following the amendment or termination of this Agreement. Should Party A fail to do so, it is to bear all legal responsibilities.
11-3.本合同未尽事宜,经甲、乙双方协商一致,可订立补充条款。本合同补充条款及附件均为本合同不可分割的一部分,本合同及其补充条款和附件内空格部分填写的文字与铅印文字具有同等效力。
11-3 Matters not covered in this Agreement may be set forth in Supplementary Provisions subject to a consensus reached between Party A and Party B following consultations. The Supplementary Provisions and annexes of this Agreement form an inseparable part of this Agreement. The text written into the blank spaces of this Agreement and its Supplementary Provisions and Annexes and the printed text shall be equally authentic.
11-4.甲、乙双方在签署本合同时,对各自的权利、义务、责任清楚明白,并愿按合同规定严格执行。如一方违反本合同,另一方有权按本合同规定索赔。
11-4 Both Parties, upon signing this Agreement, clearly understand each one’s rights, obligations and responsibilities, and are willing to perform strictly in accordance with provisions of the Agreement. If a Party breaches this Agreement, the other Party shall have the right to claim compensation in accordance with the provisions of this Agreement.
11-5.甲、乙双方在履行本合同过程中发生争议,应通过协商解决,协商解决不成的,双方同意选择下列第二种方式解决:
(一)、提交仲裁委员会仲裁;
(二)、依法向人民法院起诉。
11-5 Disputes arising between the Parties in the course of performing this Agreement shall be resolved through consultations. Where the negotiations fails to resolve the dispute, one of the following methods shall be used as agreed in this Agreement:2.
(1) Apply for arbitration atArbitration Commission;
(2) Issue legal proceeding in People’s Court
11-6.本合同连同附件一式三份。其中:甲、乙双方各执一份,上海市/区房地产交易中心或农场受理处一份,均具有同等效力。

1. Premises for Lease
第一条租赁范围
1.1 Party B agrees to lease the Premises from Party A in accordance with the terms hereunder. The gross floor area of the Premises is [ sqm ]. The Premises or any parts of the Premises shall not be subleased to or be used together with any third party without the prior written consent of Party A. 3.2 Payment method: Party B shall pre-pay the □monthly /□quarterly /□half-yearly /□yearly rental in Renminbi to the Renminbi account designated by Party A. The first installment of rent shall be paid upon the date on which this Contract is signed by the parties, and the due date for subsequent installments of the rent shall be postponed accordingly on a □monthly /□quarterly /□half-yearly /□yearly basis, provided that Party B shall pay the rent [ ] days prior to the due date for each installment of rent. If Party B is not able to pay the rent on time due to business trip or other reasons, it shall notify Party A in advance and the payment of rent may be postponed for five working days from the due date for such installment of rent, failing which Party B shall pay Party A a penalty equal to 5‰ of the outstanding rent per day of delay. If the late payment exceeds fifteen days, Party A is entitled to terminate this Contract.
3.3付款方式:乙方应按□月/□季/□半年/□年预先以人民币交付租金至甲方指定的人民币帐户。首期租金在双方签署本合同时交付,以后每期租金到期日按□月/□季/□半年/□年顺延,但乙方应在每期租金到期日[ ]日前交付租金。如果乙方因出差或其他原因不能及时交付租金,乙方应提前通知甲方,此租金交付可从当期租金到期日起推后五个工作日。否则乙方应向甲方交滞纳金。每延迟一天,乙方支付甲方滞纳金为当期应付租金的5‰,若逾期十五天,甲方有权终止合同。
4. Deposit
第四条租赁保证金
4.1 The parties agree upon execution of this Contract that, Party B shall pay to Party A a deposit equivalent to one months rent (totaling RMB [ ]) before [ ] as the deposit for Party B’s good faith performance of all terms and conditions of this Contract (hereinafter referred to as the “Deposit”). Party A shall issue receipt for such payment to Party B after deposit receiving.
4.1双方在签署本合同时同意,乙方在[www.61k.com)年月日前将相当于一个月租金总计人民币[ ]元整的租赁保证金支付给甲方,作为乙方忠实履行本合同各项条款规定和条件的保证金。以下简称“保证金”。甲方须在收到此款项后,向乙方提供收据。
4.2 If Party B breaches any terms and conditions hereunder (including but not limited to provisions regarding rental payment) and consequently causes actual loss to Party A (except for normal wear and tear of decoration, of furniture and of electronic applicances), Party B shall compensate for such loss. During the term of this Contract, Party B has no right to deduct rental and other fees payable under this Contract from the Deposit, and has no right to transfer the Deposit to a third party or to use the Deposit as security for debts.
4.2如乙方违反本合同任何条款规定或条件(其中包括但不限于交付租金的规定)给甲方造成实际损失的(其中对装修、家具、电器的自然磨损除外),由乙方负责赔偿。在合同期内,乙方不得将保证金冲抵租金和本合同规定的各项费用,不得将保证金作为转让第三者和用于债务的担保。
4.3 Party A shall refund the Deposit without interests within five days provided that Party B has fully performed the terms and conditions of this Contract and has handed over the Premises and paid all outstanding fees.
4.3在乙方全部履行本合同各项条款、规定和条件的情况下,并交还该单元、交清所欠费用后,甲方在五日内退还保证金(不计利息)。

If Party B fails to pay the Deposit or other fees payable under this Contract, or Party A has paid for Party B such other fees payable by Party, Party B shall pay late payment interests for the period of late payment at the rate of 0.5‰ of the outstanding amount per day.
如乙方未能按照本合同规定支付应付的保证金和其他款项给甲方,或甲方为乙方垫付应由乙方支付的其他款项,乙方应付迟延支付期间的迟延利息,该迟延利息应按日息为所欠款项的0.5‰计算。

6.1 Party A shall ensure that the construction structure and the equipment and facility of the Premises conform to the safety conditions concerning construction, fire prevention and others, and the Premises has not any danger to the personal safety. Party B shall ensure that the relevant laws and regulations of national or Beijing government shall be observed during use of the Premises.
6.1甲方应保证房屋的建筑结构和设备设施符合建筑、消防等方面的安全条件,不得危及人身安全;乙方应保证在使用过程中遵守国家、北京市的相关法律法规规定。
6.2 During the Term, both parties shall ensure that the Premises and its contents, equipment and facilities are in usable and safe condition:

6.2.1Regarding normal wear and tear of the Premises and its contents, equipment and facilities, Party B shall promptly notify Party A for repair and maintenance. Party A shall commence repair and maintenance within 7 days after receipt of Party B’s notice. If Party A failed to do so, Party B can repair and maintain for Party A and, to the extent lawful and reasonable, the expenses shall be borne by Party A.
6.2.1对于房屋及其附属物品、设备设施因自然属性或合理使用而导致的损耗,乙方应及时通知甲方修复。甲方应在接到乙方通知后的7日内进行维修。逾期不维修的,乙方可代为维修,费用由甲方在合理合法范围内承担。
6.2.2If the Premises and its contents, equipment and facilities are damaged due to Party B’s improper keeping or unreasonable usage, Party B shall be responsible for repair and maintenance and shall be liable for compensation.
6.2.2因乙方保管不当或不合理使用,致使房屋及其附属物品、设备设施发生损坏或故障的,乙方应负责维修或承担赔偿责任。

7.1 Party A hereby guarantees that Party A is the legal owner and has the right to lawfully lease the Premises. Otherwise, Party A shall bear the legal liability arising therefrom in full.
7.1甲方保证是项目合法的拥有者,其有权合法出租该单元,否则产生的法律责任均由甲方承担。
7.2 Party A hereby guarantees that the Premises is housing that has been developed, constructed and completed legally. The Premises has not been sold on the signature date of this Contract, and it does not exist other legal impediments which may affect the performance of this Contract.
7.2甲方保证该单元是合法开发建设完成的房屋,本合同签订时该单元尚未对外销售,也不存在影响本合同履行的其它法律障碍。
7.3Party A hereby guarantees that Party B shall have the right to occupy and enjoy the Premises peacefully throughout the Term without any interruption by Party A or its agents, provided that Party B has paid the rent and other fees hereunder and complies with the terms and conditions to be performed by Party B under this Contract.
7.3甲方保证在租期内,乙方将有权平静地占有和享用该单元,不会受到甲方或甲方代理人的干扰,但前提是乙方支付了本合同规定的租金和其它费用,并遵守和履行了本合同规定的应由乙方遵守和履行的条款。
7.4 Party A has the right to terminate this Contract unilaterally upon occurrence of any of the following to Party B:
7.4乙方出现下列任何情况时,甲方有权单方解除本合同。
7.4.1violates the laws or the regulations of PRC or uses the Premises for illegal business operations;
7.4.1违反中华人民共和国的法律/法规,利用该单元进行不法经营活动;
7.4.2changes the uses of the Premises without consent of Party A;
7.4.2未经甲方同意擅自更改该单元的用途;
7.4.3fails to pay the rent pursuant to relevant provisions hereunder; or
7.4.3未按本合同的有关条款缴纳租金;或
7.4.4sub-lets the Premises or parts of the Premises to others, transfers the Premises to others or uses the Premises jointly with a third party without the consent of Party A.
7.4.4未征得甲方同意,擅自将该单元或该单元的部分转租、转让给第三方或与第三方共同使用。
7.5 Party B agrees to waive its right of first refusal in respect of the Premises voluntarily and unconditionally during the Term. During the Term, Party A shall be free to transfer the Premises to any third party, provided that such transfer shall not prejudice Party B’s rights to occupy, control and use the Premises in accordance with the terms and conditions of this Contract. If Party A transfers the Premises to a third party, such third party shall continue to enjoy and bear all rights and obligations of Party A under this Contract. Party B undertakes to cooperate in full with Party A in handling the relevant formalities to sell and hand-over of the Premises. Party B’s failure to cooperate for the hand-over shall not affect the assumption of the rights and obligations of this Contract by the new owner. Party B shall pay rent to the new owner in accordance with this Contract after receipt of Party A’s notice, otherwise Party B shall bear the liability for breach of contract and late payment under this Contract.
7.5在租期内,乙方自愿无条件放弃该单元的优先购买权。在租期内,甲方有权自由转让该单元予任何第三方,但是该转让不得影响乙方根据本合同的条款和条件占有、控制和享用该单元的权利。若甲方将该单元出售予第三方,第三方将继续享有和承担甲方在本合同项下的所有权利和义务。乙方承诺充分配合甲方办理该单元的出售及交接手续,不影响新业主开始继受出租方在本合同项下的权利义务。乙方须在接到甲方通知之日起按本合同向新业主支付租金,否则须承担本合同项下的逾期付款违约责任。

8.1 Party B is entitled to occupy and use the Premises reasonably and legally during the Term provided that it strictly complies with the terms and conditions of this Contract.
8.1如果乙方严格遵守本合同的各项条款,则乙方有权在租赁期内合理、合法占用和使用该单元。
8.2 Party B shall pay rent and the expenses of electricity, water, gas, telephone, ID long distance call incurred at the Premises and the service fee of other specific facilities provided for Party B on time (other than the written agreement between the parties).
8.3乙方须按时缴付租金以及该单元的电费、水费、煤气费、电话费、IP主叫长话费,以及供乙方使用的其他专门设施的服务费,(甲、乙双方另有书面约定除外)。
8.4 Party B shall keep the internal part of the Premises in clean and good condition and shall prevent damage, pollution and fire, etc. It shall have the duty to supervise his visitors and friends to protect the property of Party A or the public facility of this compound. If there is any damage caused to Party A, other owners or lessees of this compound or the public facility of compound due to Party B’s reason, Party B shall compensate for the losses arising therefrom.
8.4乙方应负责该单元内部的整洁完好,防止破坏、污染、火灾等事故,并有责任监督来访的客人及朋友爱护甲方的物品,以及小区的公共设施。如由于乙方的原因,给甲方其他业主和租户或该小区的公共设施造成损害时,乙方必须赔偿损失。
1. Termination of Contract

9.1 Upon occurrence of any of the event prescribed under Article 8.4, Party A is entitled to unilaterally terminate this Contract without the need to issue any notice requesting for rectification of the breach.
9.1第8.4条所规定的任何情形发生时,甲方有权单方直接终止本合同而无需发出纠正通知。
9.2 The parties may terminate this Contract early by reaching a written agreement through consultation.
9.2甲、乙双方经协商,可达成书面协议提前终止本合同。
9.3 If either party cannot perform this Contract due to the occurrence of any force majeure events (such as earthquake, storm, hail and fire) which cannot be predicted or the occurrence and consequence of which cannot be avoided, the party who experience the force majeure event will be exempted from liability for failure to perform relevant obligations of this Contract (save for payment obligations).
9.3因发生地震、暴雨、冰雹、火灾等其他不能预见的,其发生和后果不能防止或避免的不可抗力致使任何一方不能履行本合同时,遭受不可抗力的一方可免除未能履行本合同项下相关义务的责任(付款义务除外)。

10.1 Any party who breaches this Contract shall compensate for any economic loss caused to the other party due to the breach. If the economic loss is due to default of both parties, both parties shall bear respective liability for breach in accordance with the circumstance.
10.1任何一方有违反本合同的行为,应就违约行为给对方造成的经济损失进行赔偿。如果属于双方的过失,应根据情况,由双方分别承担违约责任。
10.2 If Party B fails to perform the provisions of Article 9.1 hereof, or Party B fails to perform other provisions of this Contract and fails to rectify the breach after 14 days of receiving Party A’s written notice requesting for rectification of the breach, Party A has the right to terminate this Contract unilaterally. This Contract shall be automatically terminated from the date on which the termination notice is delivered. Upon termination of this Contract, the Deposit shall not be refunded to Party B and Party A shall have the right to claim for further losses or outstanding fees (if any), and Party B shall vacate and return the Premises to Party A within three days from the date of delivery of the termination notice.
10.2如乙方违反本合同第9.1条约定;或乙方违反本合同其它条款并接到甲方书面纠正通知后十四天内不予纠正时,甲方有权单方解除本合同,合同自解除通知送达之日起自动解除。合同解除时,保证金不予退还乙方;若有其它损失或未付费用,甲方仍有权追索。乙方应在解除通知送达之日起三日内迁出并交回该单元于甲方。

Where Party B has fully performed the terms, provisions and regulations of this Contract during the term of this Contract, Party B has the priority right to extend the Term under this Contract provided that it has given written application for extension no later than 30 days before expiry of the Term and that the parties have agreed on the conditions of the extension (including rent and term of lease) and executed the contract for the extension of the lease by no later than 15 days prior to the expiration of the Term, failing which, Party A may lease the Premises to others. Party A may show the Premises to potential tenants by giving reasonable notice to Party B within 30 days prior to the expiration of the Term and Party B shall use its best efforts to cooperate with Party A.
在本合同有效期内,乙方全部履行本合同各项条款、规定和条件的情况下,乙方有优先要求将本合同租期延长的权利,但乙方须于不迟于租期期满前三十天提出书面续租要求,并由双方在租期期满前十五天前就续租的条件(包括租金和租赁期)达成一致,签署续租合同,否则甲方可另行出租。甲方可在租期期满前三十天内,在给予乙方合理通知后将该单元向未来的租户展示,乙方应尽量配合甲方。

The parties shall not terminate this Contract except for any legal reason such as force majeure under Article 9.3. After the commencing date of the Term under this Contract, if Party A terminates this Contract unilaterally, Party A shall return the [ double ] amount of the Deposit in accordance with Article 4.1. If Party B wishes to terminate this Contract early, Party A will hold the [ total ]Deposit and this Contract shall be automatically terminated.

Any notices sent by one party to the other party under this Contract shall be made in Chinese and shall be delivered by hand, by registered air-mail (with postage pre-paid), express delivery service commonly recognized or by fax to the address stipulated in this Contract. A notice shall be deemed to have been delivered:
任何一方根据本合同发出的通知或其他联系应以中文书写并可通过人工送递或航空挂号邮寄(预付邮资)、公认的快递服务或以传真发送至另一方的合同约定地址。通知视为有效送达的日期按以下方法予以确定:
1) if sent by hand, on the date on which the documents is delivered to the designated address;

2) if sent by registered air-mail, on the tenth (10th) day after the notice is mailed (as evidence by stamp chop);

14.1 The formation, validity, interpretation, performance and dispute settlement of this Contract shall be governed by the laws of PRC.

14.2 The parties shall try their best efforts to settle any dispute under this Contract through friendly consultation or mediation, failing which, either party may submit the dispute to Beijing Arbitration Committee for arbitration.
14.2甲、乙双方就本合同发生争议时,应尽量通过友好协商方式或通过调解解决。若经协商或调解不能达成一致协议时,任何一方均可在北京仲裁委员会提出仲裁。

16.1The Contract is written in both English and Chinese. It shall be signed in duplicates, with each party holding one with the same legal validity.

2.除合同另有约定外,甲方应于租赁关系消除且乙方迁空、点清并付清所有应付费用后的当天将押金全额无息退还乙方。
3.因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用,甲方可在押金中抵扣,不足部分乙方必须在接到甲方付款通知后十日内补足。
4.因甲方原因导致乙方无法在租赁期内正常租用该物业,甲方应立即全额无息退还押金予乙方,且乙方有权追究甲方的违约责任。
六、甲方义务
1.甲方须按时将房屋及附属设施(详见附件)交付乙方使用。
2.房屋设施如因质量原因、自然损耗、不可抗力或意外事件而受到损坏,甲方有修缮并承担相关费用的责任。如甲方未在两周内修复该损坏物,以致乙方无法正常使用房屋设施,乙方有权终止该合约,并要求退还押金。
3.甲方应确保出租的房屋享有出租的权利,如租赁期内该房屋发生所有权全部或部分转移、设定他项物权或其他影响乙方权益的事件,甲方应保证所有权人、他项权利人或其他影响乙方权益的第三者能继续遵守本合同所有条款,反之如乙方权益因此遭受损害,甲方应负赔偿责任。
4.甲方应为本合同办理登记备案手续,如因未办理相关登记手续致该合同无效或损害乙方租赁权利,应由甲方负责赔偿,且甲方应承担该合同相关的所有税费。
七、乙方义务
1.乙方应按合同的规定按时支付租金及押金。
2.乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。
3.未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。
4.乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。
5.乙方应承担租赁期内的水、电、煤气、电话费、收视费、一切因实际使用而产生的费用,并按单如期缴纳。
八、合同终止及解除的规定
1.乙方在租赁期满后如需续租,应提前一个月通知甲方,由双方另行协商续租事宜。在同等条件下乙方享有优先续租权。
2.租赁期满后,乙方应在日内将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。
3.本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。
九、违约及处理
1.甲、乙双方任何一方在未征得对方谅解的情况下,不履行本合同规定条款,导致本合同中途终止,则视为该方违约,双方同意违约金为元整,若违约金不足弥补无过错方之损失,则违约方还需就不足部分支付赔偿金。
2.若双方在执行本合同或与本合同有关的事情时发生争议,应首先友好协商;协商不成,可向有管辖权的人民法院提起诉讼。
3.本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。
十、其他
1.本合同附件是本合同的有效组成部分,与本合同具有同等法律效力。

6.ObligationsofPartyA
1)PartyAwillprovidethepremisesandattachedfacilities(seetheappendixoffurniturelistfordetail)onscheduletoPartyBforusing.
2)Incasethepremiseandattachedfacilitiesaredamagedbyqualityproblems,naturaldamagesoraccidents,PartyAwillberesponsibletorepairandpaytherelevantexpenses.IfPartyAcan’trepairthedamagedfacilitiesintwoweekssothatPartyBcan’tusethefacilitiesnormally,PartyBhastherighttoterminatethecontractandPartyAmustreturnthedeposit.
3)PartyAwillguaranteetheleaserightofthepremises. IncaseofoccurrenceofownershiptransferinwholeorinpartandotheraccidentsaffectingtherightofleasebypartyB,.partyAshallquarantcethatthenewowner, andotherassociated,thirdpartiesshallbeboundbythetermsofthiscontract. Otherwise,PartyAwillberesponsibletocompensatepartyB’slosses.
4)PartyAmustregisterthiscontractwiththerelevantgovernmentauthorityIfnotdoingsoresultingthatthiscontractisinvalidorPartyB’srightofleasingmaybedamaged,PartyAshouldtaketheallresponsibilities.PartyAshouldalsobearthealltherelevanttaxes.
7.ObligationsofPartyB
1)PartyBwillpaytherentalandthedepositontime.
2)PartyBmayaddnewfacilitieswithPartyA’sapproval.Whenthiscontractexpires,PartyBmaytakeawaytheaddedfacilitieswithoutchangingthegoodconditionsofthepremisesfornormaluse.
3)PartyBwillnottransfertheleaseofthepremisesorsubletitwithoutPartyA’sapprovalandshouldtakegoodcareofthepremises.Otherwise,PartyBwillberesponsibletocompensateanydamagesofthepremisesandattachedfacilitiescausedbyitsfaultandnegligence.
4)PartyBwillusethepremiseslawfullyaccordingtothiscontractwithoutchangingthenatureofthepremisesandstoringhazardousmaterialsinit.Otherwise,PartyBwillberesponsibleforthedamagescausedbyit
5)PartyBwillbearthecostofutilitiessuchastelephonecommunications,water,electricityandgasontimeduringtheleaseterm.
8.Terminationanddissolutionofthecontract
1)Withinonemonthbeforethecontractexpires,PartyBwillnotifyPartyAifitintendstoextendthelease.Inthissituation,twopartieswilldiscussmattersovertheextension.UnderthesametermsPartyBhastheprioritytoleasethepremises.
2)Whentheleasetermexpires,PartyBwillreturnthepremisesandattachedfacilitiestoPartyAwithindays.AnybelongingsleftinitwithoutPartyA’spreviousunderstandingwillbedeemedtobeabandonedbyPartyB.Inthissituation,PartyAhastherighttodisposeofitandPartyAwillraisenoobjection.
3)Thiscontractwillbeeffectiveafterbeingsignedbybothparties.Anypartyhasnorighttoterminatethiscontractwithoutanotherparty’sagreement.Anythingnotcoveredinthiscontractwillbediscussedseparatelybybothparties.
9.Breachofthecontract
1)Duringtheleaseterm,anypartywhofailstofulfillanyarticleofthiscontractwithouttheotherparty’sunderstandingwillbedeemedtobreachthecontract.Bothpartiesagreethatthedefaultfinewillbe.Incasethedefaultfineisnotsufficienttocoverthelosssufferedbythefaultlessparty,thepartyinbreachshouldpayadditionalcompensationtotheotherparty.
